Terms of Service

Version 11 · 10/6/2026

Effective: September 30, 2026 These Terms of Service ("Terms") govern your use of ShiftFence (shiftfence.com, its subdomains and apps), operated by ShiftFence LLC, a Virginia limited liability company, 510 King St, 5th Floor, Office 531, Alexandria, VA 22314, USA ("ShiftFence", "we", "us"). 1. Who these Terms apply to "Customer" means the business that subscribes to ShiftFence. "Users" are people the Customer gives access to (admins, supervisors, workers). By using ShiftFence you agree to these Terms. If you use it for a Customer, you confirm you may bind that Customer. 2. The service ShiftFence is a geofenced time clock and workforce tool: clock-in/out, schedules, open shifts, reports, exports, notifications and e-signed agreements. We may improve or change features; we will not materially reduce core features during a paid term without notice. 3. Customer responsibilities The Customer is the employer of its workers and is solely responsible for: wage-and-hour, overtime and break compliance; payroll accuracy; obtaining any worker consent required by law for location checks; notices required by state law (including electronic-monitoring laws); and the configuration of geofences, rules and approvals. ShiftFence records data; it does not give legal, tax or payroll advice. 4. Acceptable use Do not: share logins, falsify punches or locations, attempt to bypass geofences or security, access another company's data, reverse engineer the service, upload unlawful content, or use ShiftFence to track anyone outside working time or without required consent. 5. Accounts and security Keep credentials and authenticator codes private. Tell us promptly at the contact below about any suspected unauthorized access. We may suspend accounts to protect the service or other customers. 6. Fees, payments and our reseller Fees, setup charges and billing terms are set out in the Customer's signed agreement, order or in-app checkout. Fees are billed in advance and taxes are added where required. Late amounts may lead to suspension after notice. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation and refund mechanics are governed by Paddle's Buyer Terms (https://www.paddle.com/legal/checkout-buyer-terms) and our Refund Policy (shiftfence.com/legal/refund). Customers may cancel a subscription at any time from Billing; access continues until the end of the paid period. The free trial is the evaluation period; once a paid plan starts, the one-time setup fee is non-refundable except where required by law, and partial months are not refunded. 7. Data ownership The Customer owns its data. We process it only to provide and secure the service, as described in our Privacy Policy. After a subscription ends or a trial ends without a paid plan, the Customer has 30 days to export company records. After that window, company data may be deleted from active systems. Deletion is not guaranteed to finish on day 30: limited records may be retained where required by law, and backup copies may remain until the normal backup cycle expires. Customers remain responsible for exporting and retaining payroll records for their own legal obligations. 8. Records Time punches and audit records are append-only by design; corrections are added as new records. The Customer remains responsible for reviewing records before using them for payroll. 9. Availability We aim for high availability but the service is provided "as is" and "as available". Phones, GPS, networks and third-party providers can fail or be inaccurate; ShiftFence is not responsible for inaccuracy caused by devices or networks. 10. Disclaimer To the fullest extent allowed by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. 11. Limitation of liability To the fullest extent allowed by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or lost profits or data. Our total liability for any claim is limited to the fees paid by the Customer in the 12 months before the event giving rise to the claim. 12. Indemnity The Customer will defend and indemnify ShiftFence against third-party claims arising from the Customer's employment practices, its data, or its breach of these Terms or applicable law. 13. Term and termination These Terms last while you use the service. Either party may terminate for material breach not cured within 30 days of notice. We may suspend or terminate access for non-payment, security or fraud risk, or repeated or serious violations of these Terms. Sections that by nature should survive (fees owed, data, disclaimers, liability, indemnity, law) survive. 14. Governing law and disputes These Terms are governed by the laws of the Commonwealth of Virginia, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in Alexandria or the Eastern District of Virginia, and each party consents to that venue. Before filing, each party will try in good faith to resolve the dispute informally for 30 days. 15. Changes We may update these Terms. Material changes are shown at next login and require acceptance; continued use after that means you accept them. 16. Contact ShiftFence, 510 King St, 5th Floor, Office 531, Alexandria, VA 22314, USA · shiftfence.com/quote Free trials ShiftFence may offer a free trial. The standard trial lasts 15 days; a longer trial applies only if ShiftFence agrees to it in writing or in your signed order. During a trial: (a) no fees are charged; (b) you may have up to 20 active workers and supervisors (admin-only accounts do not count) unless ShiftFence sets a different limit for your company in writing; (c) the one-time setup fee and monthly subscription start only if you choose a paid plan. We email reminders before the trial ends. If no paid plan is started when the trial ends, clock-in is paused for your team, your records are kept, and choosing a paid plan restores access. Records of a trial that never converts are handled under the "Your data after cancellation" terms. Any promotional setup discount offered in trial reminders applies only to a paid plan started before the trial ends.
